Terms of Service

These Terms of Service govern your access to and use of magnuswebservices.ca (the “Site”) and any services provided by Magnus Webservices (“Magnus,” “we,” “our”). By using the Site or engaging us, you agree to these Terms.

1. Eligibility

You may use this Site only if you are a legal resident or business operating in Canada and are legally capable of entering into a binding agreement. Services are intended for licensed healthcare practices.

2. Services

Magnus provides digital marketing services including website development, SEO, AI-powered chatbots, and paid media management. The specific scope, deliverables, timelines, and fees for each engagement are set out in a separate written proposal or statement of work.

3. Your responsibilities

You are responsible for providing accurate information about your practice, ensuring you hold all necessary licences and regulatory permissions to operate, reviewing and approving all content before publication, and complying with your provincial college’s advertising standards.

4. Our responsibilities

We will deliver services with reasonable care and skill consistent with professional standards. We will meet the response SLAs published on our Support page. We will not make any changes to your live website, ad accounts, or patient data without your prior written approval.

5. Fees and payment

Fees are set out in your proposal or statement of work, always in Canadian dollars, and exclude applicable taxes. Recurring services are invoiced monthly in advance. Payment is due on receipt unless otherwise agreed.

6. Intellectual property

On full payment of all amounts owing under a project, you own the final deliverables produced specifically for you (website code, custom content, custom designs). We retain ownership of our pre-existing tools, frameworks, templates, and know-how used to produce those deliverables.

7. Termination

Either party may terminate an ongoing engagement with 30 days’ written notice. You remain liable for fees incurred up to the effective date of termination. We will return or delete your data in accordance with our Privacy Policy.

8. Warranties & disclaimers

We warrant that services will be delivered with reasonable care and skill. We make no guarantees regarding specific search rankings, booking volumes, ad conversion rates, or business outcomes, as these depend on many factors outside our control. The Site is provided “as is” without other warranties, express or implied.

9. Limitation of liability

To the maximum extent permitted by law, our total liability to you under these Terms is limited to the fees you paid us in the six months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Any dispute arising from or related to these Terms is subject to the exclusive jurisdiction of the courts of Ontario.

11. Changes

We may update these Terms. Material changes will be communicated to active clients by email at least 30 days in advance. Continued use of the Site after a change indicates acceptance of the updated Terms.
